Bulk Rename Utility

Hi there,
I have a client that created a folder of 64 bit dll's with the correct file names (every file unique name, not numbered, sequence, or any pattern- just all unique names.dll).
What they need is the 32 bit dll's of the exact same names.
So, in folder two are the files with 64 bit dll's and in folder one are the 32 bit dll's that need to be renamed the same names as folder two. I cannot figure out a rename or replace routine to make this work.
Any suggestions?

So Folder2 has filenames you want reflected in Folder1....
How do you know which files in F1 correlate to the ones in F2, since the names dont match?
